Apply for the Cancellation of an Enterprise's Registration

Any enterprise that is no longer obliged to register, or that had voluntarily registered, must file a declaration of cancellation. This applies to:

  • a natural person operating a sole proprietorship
  • a joint venture
  • a company not constituted in Québec
  • an association or other group of persons
  • a trust operating a commercial enterprise
  • a legal person established for a private interest that is not constituted in Québec
  • a legal person established in the public interest (public authority) voluntarily registered

How to apply for the cancellation of a registration

To apply for the cancellation of a registration of an enterprise, you can use the online service Produire une déclaration de radiation, which is accessible in Office under Gestion de l’entreprise.

Before sending us this request, which will lead to the enterprise's closure through the deregistration process, make sure you have submitted all the required documents and received all the refunds to which your enterprise is entitled from the various departments, agencies and financial institutions.

Special cases for cancellation applications

Specific steps must be taken in the following situations.

In the event of death

In the event of the death of an individual operating a sole proprietorship, the liquidator of the succession (spouse, family member, etc.) must file the Declaration de radiation to the Registraire des entreprises no later than 6 months after the owner's death.

The sale of an enterprise or the change of legal form

When an natural person ceases to operate a business, sells it or wishes to continue doing business under another legal form (partnership or company), he or she must submit a déclaration de radiation to the Registraire des entreprises.

Bankruptcy of a legal person

When a legal person constituted in Québec is a bankrupt within the meaning of the Bankruptcy and Insolvency Act, the trustee in bankruptcy must file a déclaration de radiation after having obtained by the court, at the end of the administration of estates, the discharge of obligations.

Fees and terms of payment

There is no charge for filing a déclaration de radiation. However, a fee will be charged when priority service is requested. For more information, visit Registraire des entreprises rates This hyperlink will open in a new window. (in French only).

The enterprise is required to pay the annual registration fee on January 1 each year in which it is registered, including the year in which it submits a  déclaration de radiation.

Processing your application

The Registrar will file the déclaration de radiation with the register, which will have the effect of cancelling the registration.
