Revoke an Ex Officio Cancellation of an Enterprise in the Enterprise Register

The automatic cancellation of an enterprise's registration for failure to file two consecutive annual updating declarations or a declaration or notice requested by the Registrar may be revoked by the Registrar following a request received from the enterprise or a third party.

If the enterprise was required to register or was engaged in commercial activities at the time of the ex officio cancellation, it must file an application to revoke the cancellation. You need to use the online service available in My Office, under Gestion de l’entreprise.

The enterprise must complete the following documents:

• an application for revocation of cancellation
• the annual updating declaration for each year it did not file one

In addition, if the enterprise needs to produce any of the documents below, it must use the paper forms.  To obtain the forms, please contact the Registraire des entreprises  (in French only).

• The initial declaration of a legal person if the declaration has not been filed (in the case of a Québec legal person)
• The declaration or notice requested by the Registraire des entreprises, if applicable.

The applicable fees and penalties must be included with the application for revocation of cancellation.

Processing your application

When an ex officio cancellation is revoked, the Registraire des entreprises deposits an order for revocation in the enterprise register.  This is a legal document produced and filed with the enterprise register by the Registraire des entreprises. This document confirms the revocation of an enterprise’s ex officio cancellation of registration. A copy of the order is sent to the enterprise.  As of that moment, the enterprise’s registration is deemed to never have been cancelled and the legal person constituted in Québec to never have been dissolved, subject to the acquired rights of third parties.

If the enterprise was no longer required to be registered or was not in business after its cancellation until now, it can file an application for reregistration  (in French only) indicating its Québec enterprise number (NEQ).

An interested third party, such as a creditor of a dissolved enterprise, can file an application for revocation of cancellation, by completing the form Demande de révocation de radiation présentée par un tiers (RE-701) (see English courtesy translation RE-701-T)  and mailing it to the Registraire des entreprises.

An application for revocation of cancellation submitted by a third party does not have to be accompanied by the missing declarations. The applicant (third party) is required to inform the Registraire des entreprises every year in writing that the enterprise covered by the revocation is not to be cancelled again. In addition, if legal proceedings are instituted against the enterprise, the applicant must notify the Registraire des entreprises when the proceedings have ended. Failure on the part of the applicant to meet these obligations could result in the enterprise being cancelled ex officio without prior notice.
