Identification de l’entreprise

Numéro d’entreprise du Québec (NEQ)

Ten-digit number assigned when the enterprise is registered. The first two digits represent the enterprise's legal form:

11: Legal persons

22: A natural person operating a sole proprietorship

33: Partnerships, associations and other groups

88: Public authorities.

Nom

Current enterprise name.

Adresse du domicile

For legal persons, this is the address of the head office.

For natural persons operating a sole proprietorship, this is their home address.
 

For partnerships, limited partnerships, associations or groups of persons, this is the address of the principal establishment.

In the case of a trust operating a commercial enterprise, this is, in the absence of an express designation in the act or deed constituting the trust, the place where its principal establishment is located in Québec.

Adresse du domicile élu

Address of the person mandated to receive enterprise documents for the purposes of the Act respecting the legal publicity of enterprises. This is the address to which documents must be sent.

Adresse professionnelle

A natural person's business address is the natural person's main place of work or business. It is not possible to provide a P.O. box as a business address.

Siège social

A siege social (head office) is only displayed for public authorities (NEQ beginning with 88).

This is the legal person's address of domicile.

Immatriculation

The act of assigning a Québec enterprise number (NEQ) to an enterprise in order to identify it. This section is displayed for all enterprise types.

Date d’immatriculation

Date on which a Québec enterprise number (NEQ) is assigned to an enterprise; this date will never be changed.

Statut
Status linked to the registration of an enterprise. For example, the status may be "immatriculée", "radiée d'office" (cancelled ex officio) or "radiée sur demande" (cancelled on request). In the latter two cases, the date and circumstances of the cancellation are indicated.

Date de mise à jour du statut

Date of the enterprise's last status update in the register.

Date de fin de l’existence

Expected date on which the enterprise's activities will end. If no end date has been declared, the message "Aucune date de fin d’existence n’est déclarée au registre" is displayed.

Forme juridique

This section concerning the legal form of an enterprise is displayed for all enterprise types.

Forme juridique

The distinctive character of an enterprise. Various legal forms of enterprises include a corporation, a company, a partnership, a natural person operating a sole proprietorship, a non-profit legal person, a trust operating a commercial enterprise, a syndicate of co-ownership, and a cooperative.

Date de constitution

Date of creation of the enterprise.

Régime constitutif

Law under which the enterprise was created or constituted. This information can never be modified.

Régime courant

Law under which the legal person is currently doing business. This information may change if the enterprise carries out a continuation under a different law.
This information is only displayed for legal persons (NEQ starting with 11).

Assujetti volontaire

This information is only displayed for public authorities (NEQ starting with 88).

Date de mise à jour de l’état de renseignements

Date on which the information presented in the statement of information was updated by the Registraire des entreprises.

Date de la dernière déclaration de mise à jour annuelle

Date on which the last annual updating declaration was filed.

If no annual updating declaration has been produced since the registration of the enterprise in the register, the following message is displayed: "Aucune déclaration de mise à jour annuelle n’a été produite à ce jour ".

Deadline for filing the annual updating declaration for the year in question.

Faillite

This section (bankruptcy) is displayed for legal and natural persons operating a sole proprietorship (NEQ starting with 11 and 22).

L’entreprise est en faillite.

This message appears when the enterprise is bankrupt.

L’entreprise n’est pas en faillite.

This message appears when the enterprise notifies the Registrar that it is not bankrupt.

Aucune information n’a été déclarée au sujet de la faillite.

This message appears when the enterprise has not declared bankruptcy information since February 14, 2011.

Recours

This section appears only when a request for remedies related to the enterprise's file has been submitted to the Registrar. In this case, the following message appears: "L’entreprise fait l’objet d’un recours".

Fusion, scission et conversion

The information on amalgamations, divisions and conversions is only displayed for legal persons (NEQ starting with 11).

This message appears when the enterprise has been the subject of one or more amalgamations.

This message appears when the enterprise has been the subject of a division.

The information on a continuation and other transformation is only displayed for legal persons (NEQ starting with 11).

A continuation is when a legal person constituted under one law continues to exist under another law without interruption.

This section is displayed for legal and natural persons operating a sole proprietorship (NEQ starting with 11 and 33).

This message appears when the enterprise is being liquidated, i.e., when the enterprise has sent to the Registrar a notice of liquidation or appointment of a liquidator.

This message appears when the enterprise is being dissolved, i.e., the enterprise has sent a notice of dissolution or a request for dissolution.

This message is displayed for all Québec companies that, by virtue of the law under which they were constituted, must go through a liquidation or dissolution process if they wish to cease to exist.

Code d’activité économique (CAE)

A four-digit number representing the enterprise's economic activity.

Details of the enterprise's business activities, which are optional.

Nombre de salariés

An employee is a person who performs work for an employer in return for remuneration. This section indicates the number of employees. This may be a full-time, part-time or seasonal position. For the purposes of the Act respecting the legal publicity of enterprises, the number of employees whose place of work is located in Québec must be declared in thae register.

Proportion de salariés qui ne sont pas en mesure de communiquer en français

Proportion of employees ^{Read the content of the note 2} unable to communicate in French. Being able to communicate in French at work represents an employee's ability to perform their tasks in French. Depending on the job category and the tasks assigned, this can be assessed in verbal or written exchanges with colleagues, managers or customers. For example, communicting in French involves the ability to understand work instructions, attend meetings, receive training, write or share work documents (memos, reports, forms, etc.) and serve customers in French.

This section is displayed for partnerships constituted under the following legal forms: limited partnership (SEC), general partnership (SENC), limited liability partnership (SENCRL), undeclared partnership (SEP) and a corporation not constituted in Québec (SOC).

Shareholders, directors, officers, ultimate beneficiaries and proxy holders

Enterprises are required to declare the names and home addresses of their shareholders, directors, partners and officers who are not members of the Board of Directors.

Actionnaires

Natural person or legal persons holding one or more shares issued by a business corporation. These are the three shareholders with the most votes.

One of the following three messages appears:

A unanimous shareholder agreement is a written agreement by which all the shareholders of a corporation (legal person) agree to restrict the powers of or withdraw all powers from the Board of Directors to manage or supervise the business and internal affairs of the corporation. The agreement may entrust these powers to the corporation’s shareholders or to third parties.

Actionnaires ou tiers assumant les pouvoirs du conseil d’administration

When all powers have been withdrawn from the Board of Directors by a unanimous shareholder agreement, the enterprise must declare the list of shareholders or third parties assuming those powers.

This section also displays the history of shareholders or third parties who have assumed the powers of the enterprise's Board of Directors.

This section also displays the history of the former directors of the enterprise.

A director is a natural person who acts as the mandatary of a legal person (corporation). This person must respect the obligations imposed by law, the incorporating act and the by-laws, and act within the limits of the powers conferred upon him or her. A director sits on the enterprise's Board of Directors. Within the Board of Directors, the director may hold an additional position, such as Chair, Vice-Chair, Secretary or Treasurer.

Dirigeants non membres du conseil d’administration

Persons responsible for the general administration of the enterprise, but who are not members of the Board of Directors.

Bénéficiaires ultimes

In its popular meaning, an ultimate beneficiary is an individual who holds a right to benefit from a portion of the income or assets of an enterprise, or a right to direct or influence the activities of such an enterprise. In Québec, an ultimate beneficiary includes a person who owns 25% or more of the voting rights or 25% or more of the fair market value.

Administrateurs du bien d’autrui

This person is responsible for the administration of the enterprise's property or assets. The administrator of the property of others represents the enterprise and has the same rights and obligations as the enterprise. He or she generally does not work for the enterprise and is neither a director nor an officer.

The administrator of the property of others may be a legal person or a natural person.

This section also displays the history of the former directors of the property of others.

Associés

This section is displayed for partnerships constituted under the following legal forms: SEC, SENC, SENCRL, SEP, SOC, GP, LLP, LP.

Persons who have undertaken to contribute to the operation of the partnership by pooling property, knowledge or activities. In return, partners can share in the resulting profits.

Fondé de pouvoir
A fondé de pouvoir (attorney) is a person who represents the enterprise, who has no domicile or establishment in Québec or who is exempt from declaring certain information by a regulation of the Minister. Any proceedings brought against the enterprise by virtue of a statute may, even after the enterprise has been cancelled, be served on the attorney.

The attorney may be a legal person or a natural person.

Établissements

Établissement principal

This is the main place where the enterprise is located.

A place in Québec where the registrant carries on business. An establishment includes an enterprise's head office, offices and various branches.

Numéro et nom de l’établissement

Number and name associated with an establishment of a registered enterprise.

Activités économiques (CAE)

Economic activities carried out at the establishment and activity codes associated with those activities.

Specific activities for enterprises operating a  tobacco retail outlet ^{Read the content of the note 3} or offering artificial tanning services are displayed last.

Constituting name of the enterprise.

Date applied to a name declared in the enterprise register that is in force.

Date applied to a name declared in the enterprise register that is no longer in force.

Situation

This is the status of a name declared in the enterprise register.

Possible states are "en vigueur" (in force), "antérieur" (prior) or "Futur".

Autres noms utilisés au Québec
This refers to any name, other than the enterprise name, that the enterprise uses and under which it identifies itself in carrying out its activities in Québec. An enterprise can have several other names, which it can use simultaneously. However, it is not obliged to even have one. This section displays the same information as the "Nom" section.
