The legal obligations of an enterprise registered in Québec are as follows.
Annual updating declaration
All enterprises registered in the enterprise register are required to file an annual updating declaration during the period set aside for that purpose, whether or not there are any changes to be made to the information held in the register. To do so, use the online service Produire une déclaration de mise à jour annuelle, accessible in My Office under Gestion de l’entreprise.
Annual registration fees
Every year, all companies registered on January 1 must pay the annual registration fee. Enterprises that can file their annual updating declarations and tax returns at the same time must pay this fee when they file their tax return. Other enterprises must pay these fees to the Registrar during the filing period for the annual updating declaration.
Current updating declaration A current updating declaration is made when the annual updating declaration has already been filed and other changes occur during the year. Enterprises then have 30 days following any change to file a current updating declaration. To do so, they can use the online service Produire une déclaration de mise à jour courante, available in My Office under Gestion de l’entreprise.
Correcting information in the enterprise register
If an enterprise notices that a declaration previously deposited in the enterprise register is incomplete or includes inaccurate information, it must access My Office and, depending on the nature of the error, file a corrective updating declaration or an administrative recourse. Most of the information declared by an enterprise is binding on third parties. They are considered accurate from the date they are entered in the information statement, until proven otherwise.
Cancellation on Request
Any enterprise that ceases its activities or is no longer obliged to be registered must file, from My Office, a declaration of cancellation. For more information, see Transferring or Closing an Enterprise.
